1. Acceptance of Terms

By accessing and using Kishi Consulting's services ("Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

Kishi Consulting provides:

• Financial reconciliation services and analysis
• Expense management and reporting tools
• Document processing and AI-powered insights
• Integration with cloud storage services (Google Drive, SharePoint)
• Receipt scanning and OCR capabilities

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

4. Google Drive Integration

4.1 Authorization

By connecting your Google Drive account to our Service, you authorize Kishi Consulting to:

• Access files you explicitly share with the application
• Download files for reconciliation and expense analysis purposes
• Store OAuth access tokens to maintain your connection
• Create and manage files within our application's scope

4.2 Your Responsibilities

When using Google Drive integration, you represent and warrant that:

• You own or have appropriate permissions for files you share
• Files do not contain illegal or harmful content
• You comply with Google's Terms of Service
• You understand that we only access files you explicitly provide

4.3 Revoking Access

You can revoke our access to your Google Drive at any time through your Google Account settings. Revoking access will prevent our Service from accessing your Drive files but will not delete previously processed data.

5. Subscription and Payments

5.1 Subscription Plans

We offer various subscription tiers with different features and usage limits. Subscription details, pricing, and limits are available on our website.

5.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Payments are processed securely through Stripe
• All fees are non-refundable unless otherwise stated
• We reserve the right to change pricing with 30 days notice

5.3 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. You will retain access until that date.

5.4 Refund Policy

We want you to be satisfied with our Service. Our refund policy is as follows:

• Within 7 days of first subscription: You may request a full refund if you are not satisfied with the Service, provided you have not exceeded significant usage
• Service outages: If a verified service outage prevents you from using the Service for more than 24 consecutive hours, you may request a prorated credit for the affected period
• Billing errors: If you are charged incorrectly, contact us and we will issue a full refund for the erroneous charge
• After 7 days: Subscriptions are generally non-refundable. Cancellation will prevent future charges, but no refund will be issued for the current billing period

To request a refund, email us at kishiconsulting.io@gmail.com with your account email and reason for the request. Refund requests are reviewed within 5 business days.

6. Acceptable Use Policy

6.1 Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to our systems or other user accounts
• Interfere with or disrupt the Service or servers
• Upload viruses, malware, or other malicious code
• Scrape, spider, or use automated means to access the Service
• Reverse engineer or attempt to extract source code
• Resell or redistribute the Service without permission
• Share your account credentials with others
• Use the Service to process data you don't have rights to

6.2 Consequences

Violation of this policy may result in immediate termination of your account and legal action if necessary.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and protect your information.

7.1 Your Data

• You retain ownership of all data you upload or process
• We do not claim ownership of your financial documents or information
• We use your data only to provide and improve the Service
• You can export or delete your data at any time

10. Indemnification

You agree to indemnify, defend, and hold harmless Kishi Consulting, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you upload or share through the Service

11. Intellectual Property

11.1 Our Rights

The Service, including all content, features, functionality, software, and design, is owned by Kishi Consulting and protected by copyright, trademark, and other intellectual property laws.

11.2 License to Use

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes, subject to these Terms.

12. Termination

12.1 By You

You may terminate your account at any time by contacting us or using the account deletion feature.

12.2 By Us

We may terminate or suspend your account immediately, without prior notice, if:

• You breach these Terms
• You engage in prohibited activities
• Required by law or regulatory authorities
• Your account has been inactive for an extended period

12.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and data, though you can request a data export before deletion.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms with a new "Last Updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Kishi Consulting operates, without regard to conflict of law principles.

15. Dispute Resolution

If you have a dispute, please contact us first to attempt an informal resolution.

15.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kishi Consulting.

16.2 Severability

If any provision is found unenforceable, the remaining provisions will remain in full effect.

No waiver of any term shall be deemed a further or continuing waiver.

You may not assign these Terms without our prior written consent. We may assign our rights without restriction.
